Four structures — pick the right ownership

The circular concept is an educational process. It excludes third-party company branding and does not promise a tax deduction.

Keyman

Protect the enterprise against loss of a critical employee or director.

Typical owner / payor: The business owns and pays the policy.

Control: Current IRDAI / insurer rules — typically pure term for Keyman. Commercial purpose, authority, financial capacity and insurable interest must align.

Employer–Employee

Retain, reward and fund a long-term employee benefit.

Typical owner / payor: Employer pays initially; assignment depends on the scheme.

Control: Salary relationship, objective selection and scheme documents. Premium screen is 100% of salary only if a two-year repayment clause is documented; otherwise 50%.

Partnership

Fund succession or capital-share settlement when a partner dies.

Typical owner / payor: Firm / LLP or an agreed structure.

Control: Profit-sharing, deed, consent and a buy-sell arrangement. Cover is allocated to the life by their share.

HUF / MWPA

Family and succession protection, kept distinct from company-owned cover.

Typical owner / payor: Depends on the legal route.

Control: Separate from business-continuity cover. Legal drafting required. MWPA ring-fences proceeds for spouse and children.

The business-protection circle

1

Identify dependence

Revenue, client, technical, lender or ownership dependence on one person.

2

Quantify exposure

Replacement cost, profit disruption, debt and partner buyout need.

3

Choose ownership

Business-owned, Employer–Employee, partnership or family route.

4

Document and review

Board/partner authority, financials, policy terms and an annual review.

Annual review triggers: ownership change, major borrowing, partner admission/exit, rapid profit growth, key-person change, new insurance or succession-plan change.
